Translazor — Terms of Service & End-User License Agreement (EU/Lithuania)

Plain-English summary (not a substitute for the full terms): You buy a license for a Blazor translation component (“Translazor”). Subscriptions auto-renew until canceled. For EU consumers, if you ask us to deliver the license key immediately, you agree to lose the 14-day right of withdrawal once delivery starts. Business buyers may provide a valid EU VAT ID for reverse-charge. Do not share or misuse license keys. We provide the software “as is” with support/updates per your plan. Lithuanian law applies, with Vilnius courts (without affecting mandatory consumer rights).

These Terms of Service & EULA (“Terms”) govern your purchase and use of the Translazor software product and related services. By purchasing, installing, or using Translazor, you accept these Terms.
2) What you are buying
Product: “Translazor” is a Blazor component/library that provides translation and internationalization features for .NET applications.
License: Your purchase grants you a license (or subscription, if applicable) to use Translazor under the plan you select, subject to these Terms.
Delivery: After we confirm payment, your license key and access instructions are delivered electronically (email and/or Customer Portal). No physical delivery is provided.
Requirements: You are responsible for ensuring your environment meets the technical requirements described in our documentation.
Third-party services: Translazor may integrate with third-party providers (e.g., Azure Translator, DeepL, Google, Redis). You are responsible for those accounts, fees, and compliance with their terms. We are not responsible for third-party service availability, changes, or outages.
3) License grant (scope of use)
- License type: Non-exclusive, non-transferable, revocable license under the subscription plan you purchase (Free/Pro/Team), as shown at checkout and on your receipt.
- Use in projects: You may use the Product in your applications and websites during an active subscription, subject to the limits of your plan (e.g., seats, projects, or organizations—if applicable).
- Permitted users: Your employees and contractors may use the Product for your projects, provided they comply with these Terms.
- No resale: You may not resell, sublicense, or distribute the Product as a standalone product. You may distribute your own applications that incorporate the Product.
- Source code: No source code rights are granted unless explicitly stated in writing. The license covers use of compiled binaries (e.g., NuGet packages) and public APIs only.
You acknowledge we may implement license verification (e.g., key validation) and agree not to interfere with it.
4) Prohibited uses
- Sharing, reselling, renting, sublicensing, or publicly posting license keys.
- Reverse engineering, decompiling, or circumventing technical restrictions (except where permitted by mandatory law).
- Copying, cloning, or creating a derivative work that is substantially similar to the Product, including its unique design, structure, or functionality.
- Exceeding plan limits (if any), removing or altering proprietary notices, or misrepresenting your eligibility for a plan (e.g., Free vs. paid).
5) Plans, pricing, and taxes
- Prices & plans are shown on the website and/or at Stripe Checkout. Any changes apply prospectively.
- Payments: Payments are processed by Stripe.
- Taxes: Where applicable, taxes may be calculated and collected at checkout based on the information you provide (such as billing address and tax IDs).
- EU VAT (if applicable): If you provide a valid EU VAT ID, VAT may be handled under the reverse-charge mechanism where permitted by law. Otherwise, VAT (if applicable) may be applied according to your location.
- Receipts: Stripe emails receipts and they may also be available through Stripe’s customer portal, if enabled.
6) Subscriptions, renewals, cancellations
- Subscriptions auto-renew until you cancel (see renewal date/amount in Stripe/Portal).
- Cancel any time before the next renewal to avoid future charges.
- On cancellation, license remains valid until end of paid period; then key may be suspended/expired.
- Unpaid invoices may result in suspension of license and updates/support.
8) Right of withdrawal (EU consumers)
Digital content supplied immediately. If you are an EU consumer and choose immediate delivery of your license key or access, you expressly consent to immediate performance and acknowledge that you lose the statutory 14-day right of withdrawal once delivery begins.
If you do not want immediate delivery, delay activation and contact support before using the key. This does not affect other mandatory consumer rights.
9) Refunds
Unless required by mandatory law or explicitly stated in your plan/offer, fees are non-refundable once the license key or access is delivered/activated. If we materially fail to deliver what you paid for and cannot remedy promptly, contact support; we may offer a remedy or a discretionary refund.
10) Support and updates
Support and update entitlements depend on your plan (e.g., email support, priority handling, and access to updates during an active subscription). Any response times shown on the website are targets, not guarantees.
We may release fixes, patches, and new versions at our discretion. We do not guarantee that every issue will be resolved, or that the Product will remain compatible with all third-party services or APIs, which may change without notice.
We may modify, suspend, or discontinue features of the Product over time; if you have an active subscription, we will make reasonable efforts to avoid material disruption.
11) Service levels & availability
Translazor is software you run in your own environment. We do not provide a service-level agreement (SLA) or guarantee uptime/availability.
We do not guarantee the uptime, availability, performance, or continued operation of third-party services (e.g., translation providers, Redis, hosting platforms). We are not responsible for outages, rate limits, API changes, or interruptions imposed by third parties.
If the Product uses online services for licensing or verification, those services may occasionally be unavailable. We will make reasonable efforts to restore them, but temporary unavailability may affect certain features.
12) Privacy & data protection (GDPR)
- We process billing/account data (such as name, email, and billing address; and tax identifiers if provided) to fulfill the contract (payments, receipts/invoices, license delivery, and support).
- Stripe processes payments for us. Stripe may act as a controller and/or processor for payment data under its own terms and privacy notice.
- See our Privacy Policy for details (lawful bases, retention, data subject rights, and subprocessors).
- If we use minimal technical data for licensing or abuse prevention (e.g., license key hash and basic request metadata), it will be described in the Privacy Policy.
13) Intellectual property
Translazor is protected by copyright and other IP laws. We retain all rights, title, and interest in and to the Product, documentation, and branding, except for the limited license granted herein.
14) Warranties and disclaimers
Translazor is provided “as is” and “as available”. To the maximum extent permitted by applicable law, and except where such warranties cannot be excluded, we disclaim all warranties, express or implied (including merchantability, fitness for a particular purpose, and non-infringement).
We do not warrant error-free or uninterrupted operation, or the availability/accuracy of any third-party services. Machine translations and provider outputs may contain errors, omissions, or inappropriate results, and you remain responsible for reviewing and validating output for your use case.
15) Limitation of liability
- To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, punitive, or consequential damages, or for loss of profits, revenue, data, goodwill, or business interruption.
- Our aggregate liability arising out of or related to the Product is limited to the amounts you paid for the Product in the 12 months preceding the event giving rise to the claim.
- You are responsible for maintaining appropriate backups and safeguards for your systems and data.
- Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under mandatory law.
16) Term and termination
These Terms apply from the date you purchase or use the Product and continue while you maintain an active subscription. You may cancel your subscription at any time; cancellation takes effect at the end of the current paid billing period unless stated otherwise at checkout.
We may suspend or terminate your access for a material breach (e.g., license key sharing or prohibited use), after notice where reasonably possible. Upon termination or subscription expiry, you must cease using the Product and delete copies where reasonably possible, and we may disable license keys.
17) Export control and sanctions
You represent and warrant that (a) you are not located in, under the control of, or a national or resident of any country or region subject to comprehensive sanctions, and (b) you are not a person or entity on any EU, UK, or US sanctions/restricted party list. You will not use, export, re-export, transfer, or make the Product available in violation of applicable export control or sanctions laws. We may suspend or terminate access if required to comply with such laws.
18) Changes to the Product or Terms
We may update the Product and these Terms from time to time. We will post the most current version on our website and, for material changes, we may also notify you by email. Changes take effect on the date stated in the updated Terms (or, if no date is stated, when posted).
If you continue to use the Product after the effective date, you agree to the updated Terms. If you have an active subscription and a change materially affects you, you may cancel your subscription before the next renewal (and you may stop using the Product if you do not agree).
19) Governing law and jurisdiction
These Terms are governed by the laws of Lithuania, excluding conflict-of-laws rules. The courts of Vilnius, Lithuania have exclusive jurisdiction, without prejudice to mandatory consumer rights that may allow consumers to bring claims in their country of residence.
20) Miscellaneous
- Entire agreement: These Terms (and referenced documents, e.g., Privacy Policy, plan description) form the entire agreement.
- Order of precedence: (1) your plan/checkout summary, (2) these Terms, (3) documentation.
- Assignment: You may not assign/transfer your license without our prior written consent.
- Notices: We may contact you via the billing/tech emails you provide.
- Severability: If a clause is invalid, the remainder stays effective. No waiver for failure to enforce.
Annex A — Checkout disclosures (show near Pay button)
- Product: Translazor (Blazor translation component)
- Delivery: Electronic; license key by email/Portal immediately after payment.
- Billing: Stripe handles billing. Taxes (incl. EU VAT) calculated automatically; valid EU VAT ID may apply reverse charge.
- Renewals (if subscription): Auto-renews until canceled. Cancel anytime via Customer Portal before next renewal.
- Right of withdrawal (EU consumers): By opting for immediate delivery, you consent to immediate performance and acknowledge losing the 14-day withdrawal right once delivery starts.
- Refunds: Non-refundable after delivery except where required by mandatory law or explicitly stated in your plan.
- License scope: Per plan; domain-bound; dev/staging allowances as described.
- Support & updates: As per plan. Terms & Privacy: links must be available and accepted before payment.
